How It Works

Any individual or entity who is a resident or citizen of Ghana (or an eligible diaspora investor) aged 18 or above can register and invest on Ardent CrowdFund. You will need to complete our KYC process, which requires a valid government-issued ID (Ghana Card, passport, or driver's licence). Non-Ghanaian investors may participate subject to SEC Ghana guidelines on foreign investment.

The minimum investment on Ardent CrowdFund is GHS 500. Each campaign may set a higher minimum depending on the capital structure and offering terms. The maximum investment per campaign for non-accredited investors is subject to SEC Ghana crowdfunding regulations, typically capped at a percentage of your annual income.

Returns depend on the investment type. For debt campaigns, you receive regular interest (coupon) payments — typically quarterly or semi-annually — plus principal repayment at maturity. For equity campaigns, returns come through dividend distributions when the business generates profits. Both types of payments are made directly to your registered bank account or mobile money wallet.

Ardent CrowdFund operates on a "all-or-nothing" model for most campaigns. If a campaign does not reach its minimum funding target by the close date, all committed funds are returned to investors in full within 5 business days. No fees are deducted from returned funds.

Investor funds are held in a ring-fenced escrow account at a regulated Ghanaian bank, separate from Ardent's operational accounts. Funds are only released to the business once the campaign successfully closes. In the event of an unsuccessful campaign, funds are returned directly to investors. Additionally, all campaigns are covered by our platform liability insurance.

Investing in early-stage and growth businesses carries significant risk, including the risk of total loss of your invested capital. Returns are not guaranteed, and businesses may underperform. Equity investments may be illiquid — there is no secondary market for most positions. We strongly recommend diversifying your investments and only investing amounts you can afford to lose. Please read the full risk disclosure in each campaign's offer document.

No. Once you commit to an investment, your funds are locked in escrow until the campaign closes. After close, equity positions are not tradable on Ardent CrowdFund. For debt instruments, there may be an early redemption option subject to the terms specified in the offer document.

Yes. Interest income and dividends received from investments on Ardent CrowdFund are subject to Ghanaian income tax as per the Income Tax Act, 2015 (Act 896). Ardent issues annual investment statements to help you with your tax filings. We recommend consulting a tax adviser for your specific circumstances.

Ardent accepts applications from registered Ghanaian businesses that have been operating for at least 2 years with audited financial statements. We fund businesses across agriculture, manufacturing, retail, technology, healthcare, real estate, and other productive sectors. We do not accept applications from shell companies, gambling businesses, or entities in SEC-prohibited sectors.

Businesses can raise between GHS 100,000 and GHS 5,000,000 per campaign through Ardent CrowdFund, in line with SEC Ghana crowdfunding regulations. If your capital requirements exceed GHS 5 million, our team can discuss a phased approach or refer you to appropriate capital market solutions.

Ardent operates on a success-fee model. There are no upfront listing fees. We charge a platform fee of 5% of the total capital raised, deducted at close. This covers campaign setup, offer document preparation support, marketing to our investor community, and post-close investor communications. There may be additional third-party costs for legal and audit work, which will be disclosed upfront.

The full process typically takes 30–45 days from initial application to campaign launch. This includes a 5–7 day screening period, a 10–20 day due diligence and offer document preparation phase, and final SEC Ghana clearance. Well-prepared applicants with complete documentation can move through the process faster.

To apply, you will need: (1) Certificate of Incorporation and Regulations, (2) Audited financial statements for the past 2 years, (3) Management accounts for the current year to date, (4) Business plan and financial projections (3–5 years), (5) Directors' CVs and disclosure of interests, (6) Details of existing shareholders and shareholding structure, and (7) Proposed use of funds schedule.

Yes. Ardent CrowdFund supports equity raises (selling shares in your company), debt raises (issuing bonds or loan notes with a fixed interest rate), convertible note raises (debt that converts to equity at a later round), and blended structures (a combination). Our advisory team will work with you to determine the most appropriate structure for your business stage and capital needs.
